Affiliate Program Terms and Conditions Agreement
This Affiliate Program Terms and Conditions Agreement (hereinafter referred to as the “Agreement”) is entered into by and between Boz Digital Labs (hereinafter referred to as “Company,” “we,” or “us”), and you (hereinafter referred to as “Affiliate,” “you,” or “your”). By participating in the Boz Digital Labs Affiliate Program, you agree to comply with and be bound by the following terms and conditions:
1. Enrollment and Participation:
1.1. To enroll in the Boz Digital Labs Affiliate Program, you must complete the online application located on our official website. We reserve the right to accept or reject any application at our sole discretion.
1.2. You must provide accurate and complete information during the enrollment process.
1.3. Participation in the affiliate program is limited to individuals or entities over the age of 18.
2. Affiliate Commission:
2.1. As an Affiliate, you will earn a starting commission of 20% on the net sales amount for each qualifying sale made through your unique affiliate link.
2.2. Commission rates may be subject to change at any time, and you will be notified of such changes in advance.
2.3. You have the opportunity to earn higher commission rates based on your performance. Commission rates may increase up to a maximum of 50% based on the number of referred sales and/or the overall revenue generated.
2.4. Commissions are calculated based on the final purchase price after discounts, returns, and refunds.
3. Payment:
3.1. Commissions will be paid to you on a monthly basis, within [number] days following the end of each calendar month.
3.2. Payment will be made through the payment method selected by you from the available payment methods provided during the enrollment process.
4. Marketing and Promotion:
4.1. You are authorized to use approved marketing materials, including banners, text links, and promotional content provided by Boz Digital Labs.
4.2. You shall not engage in any misleading or deceptive marketing practices, including but not limited to spamming, false advertising, or misrepresentation.
4.3. You shall not use the Boz Digital Labs brand in any manner that may tarnish our reputation or violate our intellectual property rights.
5. Termination:
5.1. Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
5.2. In the event of termination, you will be entitled to unpaid commissions earned prior to the termination date, subject to our approval and verification.
5.3. Upon termination, you shall immediately cease all marketing and promotional activities related to Boz Digital Labs.
6. Confidentiality:
6.1. Both parties agree to maintain the confidentiality of any non-public information obtained during the course of the affiliate relationship.
7. Limitation of Liability:
7.1. Boz Digital Labs shall not be liable for any indirect, special, incidental, or consequential damages arising from or in connection with the affiliate program or this Agreement.
8. Governing Law and Dispute Resolution:
8.1. This Agreement shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of law principles.
8.2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in [City], [State/Country].
9. Miscellaneous:
9.1. This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, understandings, or representations.
9.2. No modification or amendment to this Agreement shall be valid unless agreed upon in writing by both parties.
10. Digital Products and Anti-Piracy Clause:
10.1. Boz Digital Labs offers digital products and downloads that are intended for legal and legitimate use by customers. These digital products may include software, audio plugins, virtual instruments, and other digital content.
10.2. You acknowledge that all digital products and downloads provided by Boz Digital Labs are protected by copyright and other intellectual property laws.
10.3. As an Affiliate, you are explicitly prohibited from engaging in or promoting any form of piracy, unauthorized duplication, or distribution of the digital products offered by Boz Digital Labs. This includes, but is not limited to, sharing cracked or pirated versions of the digital products, providing serial numbers or activation codes to unauthorized individuals, or facilitating any activity that infringes upon the intellectual property rights of Boz Digital Labs.
10.4. You agree to take all necessary measures to prevent the misuse, unauthorized distribution, or piracy of Boz Digital Labs’ digital products by yourself or any parties you refer to our products.
10.5. In the event that we discover or suspect any violations of this anti-piracy clause, we reserve the right to take appropriate actions, including the termination of your participation in the affiliate program, legal action, and reporting to relevant authorities.
By enrolling in the Boz Digital Labs Affiliate Program, you explicitly acknowledge and agree to comply with the anti-piracy clause stated in this section.
By enrolling in the Boz Digital Labs Affiliate Program, you acknowledge that you have read, understood, and agreed to the terms and conditions outlined in this Agreement.
This Agreement is effective as of the date of enrollment.
